Welcome to Miushuaia AG ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our services, including the VVBusiness (VVB) platform, VVRamp on-ramp and off-ramp services, and the Merchant Center dashboard (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1 Acceptance of Terms
By accessing or using our Services, you confirm that you have read, understood and agree to these Terms. Our Privacy Policy at https://vvbusiness.io/policies/privacy-policy explains how personal data is processed. Acknowledging that notice does not constitute consent to processing for which separate consent is required.
These Terms constitute a legally binding agreement between you ("User", "you" or "your") and Miushuaia AG, a company incorporated under Swiss law, with UID CHE-379.966.803 and registered office at Gubelstrasse 11, 6300 Zug, Switzerland.
2 Eligibility
To access and use our Services, you must:
- be at least 18 years old;
- be a legal entity (merchant) completing our onboarding procedure, including Know Your Business (KYB) verification;
- comply with all applicable laws and regulatory requirements in your jurisdiction;
- complete identity verification (KYC/KYB) in accordance with Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) regulations, as outlined in Section 5.
We reserve the right to refuse or restrict service where eligibility criteria are not met.
Services are available only to registered legal entities that satisfy our existing onboarding, jurisdictional, sanctions and risk requirements. Availability depends on the customer, the service and the applicable restrictions. Nothing on this Website grants access to a service in a jurisdiction where it is not lawfully available.

3.4 Merchant Center Dashboard
Provides tools for transaction monitoring, account management, reporting, and user administration. Access may be temporarily limited due to maintenance or security reasons.
3.5 Account Security and API Credentials
You are responsible for safeguarding all credentials within your control, including account passwords, API keys and secrets, access tokens, authentication devices, recovery codes, and private keys or recovery phrases for external wallets that you control ("Credentials"). You must keep Credentials confidential, maintain secure backups where appropriate, and take reasonable measures to prevent loss, disclosure and unauthorised use.
- Store API secrets securely. Do not expose them in public repositories, client-side code, URLs, screenshots, unsecured logs or messages, or share them with persons who do not need authorised access.
- Restrict access to authorised personnel and service providers, grant only the permissions required, and promptly remove access when a role, engagement or authority ends. You are responsible for their use of access you grant and for managing their permissions.
- Protect the devices, email accounts, connected wallets, systems and integrations you use. Use the security controls available for the relevant Service, including multi-factor authentication, permission restrictions and key rotation where provided, and follow our notified security instructions.
Notify support@vvbusiness.io without undue delay if Credentials are lost, disclosed or suspected to be compromised, or if you identify unauthorised access or transactions. Use available controls to revoke or disable affected access promptly and cooperate with verification and incident investigation. Do not send passwords, API secrets or wallet recovery phrases in a support message. We may require verification before restoring access or changing Credentials; immediate recovery cannot be guaranteed.
Subject to Section 6, you bear losses to the extent caused by your loss or disclosure of Credentials, your failure to meet the security duties above, or misuse by persons to whom you granted access. We are not required to reimburse losses attributable to those matters merely because a transaction used the Services. This allocation does not transfer responsibility for private keys that the Company holds as custodian to you.
We may rely on instructions that pass the agreed authentication and authorisation checks, acting with the care required by law and the applicable agreement. Successful authentication alone is not conclusive proof that you authorised a disputed transaction. Once notified of suspected compromise, we will take reasonable protective steps within a reasonable time, subject to verification and legal requirements. Notice cannot reverse a transaction already irrevocably executed.
3.6 Funds and Transaction Instructions
You are responsible for deciding whether a transaction is suitable for your business, for the lawful source and use of funds you submit, and for having the ownership or authority required to instruct us. You must manage your own liquidity, external bank accounts and external wallets, and must not use the Services for undisclosed third parties or prohibited activities.
Before submitting an instruction, verify the recipient, wallet or bank account details, asset, blockchain network, amount, any required memo or tag, and the applicable fees and quote terms. You bear losses to the extent caused by incorrect, incomplete, duplicate or unauthorised instructions attributable to you. Transfers to an incorrect address, unsupported asset or network, or wrong recipient may be irrecoverable. We do not guarantee that we can cancel, recover or reverse a transaction after execution. Any recovery assistance is subject to technical feasibility, applicable law and any costs agreed with you in advance.
You are responsible for your integration code, request handling and internal records. Follow the applicable API documentation, check transaction status before resubmitting a request, and use duplicate-prevention controls where supported. A timeout, missing callback or connectivity failure does not by itself establish that a transaction failed. Review account activity regularly and promptly report discrepancies; a delay affects a claim only to the extent permitted by law, including loss that reasonable mitigation could have prevented.
You remain responsible for your underlying goods or services, customer contracts, refunds, tax reporting, licences and compliance obligations. Our processing of a payment does not certify the recipient, your counterparty or the underlying transaction, and does not make us responsible for disputes concerning your goods or services. This does not alter any express payment or refund obligations we have under the Merchant Agreement.
4 Regulatory Framework
Our Services are provided by Miushuaia AG under the applicable Swiss legal framework, including anti-money laundering, counter-terrorist financing and sanctions requirements. Mandatory rules in other relevant jurisdictions continue to apply where applicable.
Miushuaia AG is a member of VQF, a self-regulatory organisation recognised by the Swiss Financial Market Supervisory Authority FINMA, under membership number 101240. VQF supervises compliance with the Swiss Anti-Money Laundering Act.
5 AML CTF and Compliance
We apply AML/CTF, sanctions screening and transaction monitoring measures in accordance with applicable law, including enhanced due diligence where required. Where the applicable reporting conditions are met, suspicious activity is reported to the Money Laundering Reporting Office Switzerland (MROS) or another competent authority as required by law.
Crypto-asset transfers may be subject to data sharing obligations under applicable Travel Rule requirements. Failure to provide required information may result in delayed, rejected, or blocked transactions.
5.1 Accuracy and Ongoing Cooperation
You must provide complete, accurate, authentic and current KYC/KYB and transaction information, including information about your business, ownership and control, beneficial owners, authorised representatives, source of funds or wealth where requested, transaction purpose, and required originator or beneficiary details. You are responsible for information submitted by you or on your behalf and must not submit forged, altered, misleading or unlawfully obtained documents.
Promptly correct errors and notify us of material changes. Respond to reasonable verification and supporting-document requests within the period stated in the request, or promptly explain any difficulty. Where law or an authority requires a deadline, that deadline applies. You must have a lawful basis to provide personal data and give any notices or obtain any authorisations required from the relevant individuals.
5.2 Consequences of Missing or Incorrect Information
If required information is missing, inconsistent, inaccurate or not adequately supported, or you refuse to cooperate, we may decline onboarding, request further evidence, delay or reject transactions, restrict access, or suspend or terminate the Services to the extent reasonably necessary or legally required. We are not obliged to process a transaction before required checks have been completed. Checks may also be repeated after onboarding.
Subject to Section 6, you bear losses, delays and reasonable documented costs to the extent caused by your failure to meet these obligations. We are not liable for loss attributable to such failure where our response is lawful and reasonable. No automatic penalty, confiscation of assets or new fee is created by this clause; any charge must have an applicable contractual or legal basis.
5.3 Our Compliance Obligations
Your obligations do not replace our own duties to assess and verify information, monitor transactions, protect personal data or make required reports. We may not disclose reasons or supporting information where disclosure is prohibited by law or would prejudice a lawful investigation. Restrictions on assets, and any subsequent release or return, remain subject to applicable law and Section 7.
5.4 Suspicious or Illicit Digital Asset Deposits
5.4.1 Prohibited Assets and Customer Assurances
You must not deposit, arrange the deposit of, or knowingly permit the use of digital assets derived from fraud, theft, ransomware, money laundering, terrorist financing or other criminal activity, or assets whose receipt, holding or transfer would breach applicable sanctions or other law. For deposits initiated or arranged by you or persons acting on your behalf, you represent that the assets are from lawful sources and that you have lawful ownership or authority to transfer them. You must not conceal their origin, beneficial ownership or transaction purpose, or use the Services to evade screening or restrictions.
5.4.2 Receipt and Compliance Review
A blockchain confirmation, receipt at a deposit address, account balance display or earlier processing does not by itself establish that an asset has passed all compliance checks, that its source is lawful, or that it is unconditionally available for conversion, settlement or withdrawal. We may review a deposit when received or when relevant information later becomes available. Receipt of an unsupported asset does not make that asset or its network supported.
Where there are reasonable grounds for concern, we may require transaction hashes, source-wallet and counterparty information, evidence of ownership or authority, source-of-funds records, contracts, invoices and other relevant supporting documents. You must provide accurate information and cooperate promptly under Section 5.1. Screening scores, address labels and transaction links are indicators for assessment and are not, by themselves, conclusive proof of criminal origin.
To the extent legally permitted and reasonably necessary, we may decline processing or temporarily restrict conversion, settlement, transfer or withdrawal of affected assets while conducting the review. Broader account restrictions require a separate reasonable basis or a legal requirement. Restrictions will be proportionate, reviewed without undue delay and lifted when their lawful basis no longer exists. Any statutory requirement to execute, trace or freeze transactions, or any binding authority order, takes precedence over these contractual review rights. We will make required reports and disclosures, subject to applicable confidentiality and notification restrictions.
5.4.3 Return or Release of Affected Assets
We do not promise immediate release, a refund, or return to the originating address. Any return or transfer is subject to applicable law, binding orders, verification of the lawful recipient and destination, and technical feasibility. We will not send assets to an alternative address merely to circumvent a restriction. A suspicion, risk score or failure to supply documents does not itself transfer ownership to the Company or authorise confiscation. Assets will be dealt with under Section 7 once any lawful restrictions permit.
An asset issuer or competent authority may impose restrictions beyond our control. We do not guarantee that such restrictions can be reversed, or undertake to replace affected assets from our own funds solely because they were received through the Services. This does not excuse any breach of our own obligations or limit liability preserved by Section 6.1.
5.4.4 Customer Liability and Costs
Subject to Section 6.1, you are responsible for reasonable, documented losses and necessary external investigation or recovery costs directly caused by your breach of this Section, fraud, unlawful conduct or materially false information. Third-party claims are governed by Section 6.4, including its notice, defence and settlement protections. Liability is reduced to reflect any loss attributable to our own breach, negligence or misconduct. No automatic penalty, non-transferable regulatory fine, charge for routine compliance checks or double recovery is imposed, and this Section does not itself authorise deduction of disputed amounts from client assets.
5.4.5 Unsolicited Third Party Transfers
If an unexpected or unsolicited transfer reaches an address associated with your account, notify us promptly upon becoming aware of it and cooperate with the review. Do not knowingly use or move the affected assets to defeat that review. A transfer that you did not initiate, arrange or knowingly permit does not, without further evidence, establish a breach by you or make you automatically liable for the sender's conduct. Lawful review and restrictions may nevertheless apply to the affected assets.
6 Limitation of Liability
6.1 Mandatory Liability and Custody Obligations
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or gross negligence of the Company or persons for whose conduct it is legally responsible, or any other liability that cannot lawfully be excluded or limited. Every exclusion, cap and allocation of risk in these Terms is subject to this paragraph and applicable mandatory law. Our obligations concerning custody, safeguarding and lawful return of client assets, security, verification and data protection remain applicable.
6.2 Customer and External Events
Subject to Section 6.1, we are not liable to the extent a loss is caused by your breach of these Terms, negligence or misuse, including the Credential, account, instruction and KYC/KYB matters described above, rather than a breach of our own obligations.
We do not guarantee uninterrupted access, a particular market value, profitability, liquidity or recovery of an asset. To the extent beyond our reasonable control and not caused or aggravated by a breach of our obligations, we are not liable for losses resulting from blockchain congestion or failures, asset issuer actions or depegging, disruptions of external banks or networks, legal changes or binding authority orders, or force majeure events such as natural disasters or widespread infrastructure outages. We must take reasonable steps to mitigate the impact. This clause does not provide a blanket exclusion for our systems, our selection or supervision of service providers, or persons for whose conduct we are legally responsible.
6.3 Excluded Losses and Aggregate Cap
Subject to Section 6.1 and any expressly agreed liability provisions in the Merchant Agreement, we are not liable for indirect or consequential losses, or loss of anticipated profits, business opportunities or goodwill arising out of the Services, to the extent that such exclusions are permitted by law.
Subject to the same qualifications, our aggregate liability for damages arising out of or in connection with the Services is limited to the fees you paid to the Company for the Services during the twelve (12) months immediately preceding the first event giving rise to the relevant claim or related claims. Client asset balances and transaction principal are not fees. This cap does not reduce your ownership rights in client assets or our obligation to account for and return assets we hold for you when lawfully due.
6.4 Customer Indemnity for Third Party Claims
To the extent permitted by law, you must indemnify the Company for reasonable, documented losses and external legal costs arising from third-party claims to the extent directly caused by your breach of these Terms, fraud, unlawful conduct, infringement of third-party rights, or materially false information supplied by you or on your behalf. The indemnity does not cover losses attributable to our own breach, negligence or misconduct, non-transferable regulatory fines or penalties, or double recovery of the same loss.
We will notify you of such a claim without undue delay, allow reasonable participation in its defence and take reasonable steps to mitigate loss. We will not agree a settlement requiring your payment or admission of liability without your prior written consent, which must not be unreasonably withheld. If both parties contributed to a loss, responsibility is allocated according to their respective contribution and applicable law.
7 Suspension and Termination
We may suspend or terminate access where required by law or where reasonably necessary to address a material breach, suspected fraud, compromised Credentials, security risks, missing KYC/KYB information, or AML/CTF or sanctions concerns. Restrictions must be proportionate to the reason and will be reviewed as circumstances change. We will give notice and, where appropriate and lawful, an opportunity to remedy the issue, but may act immediately where delay creates a security or compliance risk.
You may request termination by contacting support@vvbusiness.io, subject to settlement of outstanding obligations. Suspension or termination does not by itself forfeit your assets. Subject to lawful freezes, binding orders and required verification, we will arrange the lawful return or transfer of remaining assets in accordance with the applicable agreement. A restriction must not continue merely as a penalty for failure to cooperate.
Subject to Section 6, we are not liable for losses attributable to a lawful and reasonable restriction caused by your breach or failure to cooperate. Fees already properly incurred and liabilities arising before termination remain payable. We may retain records as required by law; account closure does not require immediate deletion of compliance records.
8 Intellectual Property
All intellectual property related to the Services is owned by Miushuaia AG or the relevant rights holders and is used under applicable licences or authorisations. No rights are granted except as expressly stated.
9 Governing Law and Jurisdiction
These Terms are governed by the substantive laws of Switzerland. Disputes arising from or in connection with these Terms are subject to the exclusive jurisdiction of the competent courts in Zug, Switzerland, subject to any mandatory law providing otherwise.
10 Changes to Terms
We may update these Terms to reflect legal or operational changes. Material changes will be communicated in advance where required by law.
